Business Service Agreement

Effective: October 2026  |  Version 1.0

This Clinkable Business Service Agreement ("Agreement") governs business website and related services provided by Clinkable ("Clinkable," "we," "us," or "our") to the person or business purchasing or using those services ("Client," "you," or "your"). This Agreement supplements Clinkable's Terms of Service and Privacy Policy.

If a provision of this Agreement conflicts with the general Terms of Service regarding the business services covered here, this Agreement controls for those services.

1. Agreement and Acceptance

By purchasing a covered service, electronically accepting this Agreement, or otherwise authorizing Clinkable to begin work after being provided this Agreement, Client agrees to these terms.

The applicable checkout, invoice, order confirmation, or written proposal identifies the pricing option and any additional services selected.

2. Standard Business Website Service

Clinkable provides professionally built and managed business websites. The standard service may include design and customization, responsive and mobile-friendly layout, business and service information, contact and lead-generation features, deployment, hosting, maintenance, routine updates, technical support, and related services described on the applicable Clinkable service page or order.

The standard website service does not automatically include ecommerce, custom software, extensive content creation, photography, paid advertising, complex integrations, third-party subscription fees, or other specialized work unless specifically included in writing. Additional or custom work may require a separate quote or agreement.

3. Website Pricing and Purchase Options

The regular purchase price of a standard Clinkable business website is $1,200. Clinkable currently offers two ways to begin service, subject to the pricing displayed or agreed to at the time of purchase.

Option A — Purchase Website at Signup. Client may purchase the completed website at signup for the promotional price displayed at checkout. Under the current standard offer, the website purchase price is discounted to $599, and the first month of the $249 Business Care Plan is also due at signup, for a total initial payment of $848. Business Care then continues at $249 per month until canceled.

Option B — No-Upfront Website Option. Client may begin without making a website purchase payment. Under the current standard offer, Client pays $249 at signup for the first month of Business Care and then $249 per month while service remains active. The $1,200 website purchase price is deferred while the Business Care Plan remains active.

Client is not required to purchase the website merely because Client later cancels. If Client cancels and does not want to take the completed website, no deferred $1,200 website purchase charge is due and Clinkable's website service ends. If Client wants to take ownership of the completed website after using the No-Upfront Website Option, Client must first pay the deferred $1,200 website purchase price.

Promotional pricing may change for future customers. A completed purchase remains governed by the pricing shown in that Client's checkout, invoice, order confirmation, or other written purchase record.

4. Business Care Plan

Business Care is an ongoing managed service billed at the rate shown at checkout or in the applicable written order. Under the current standard offer, Business Care is $249 per month.

Business Care generally includes managed website hosting, deployment and SSL management, routine website maintenance, technical monitoring and upkeep, reasonable routine content updates, changes to ordinary business, service, and contact information, and ongoing technical support for the Clinkable-managed website.

Business Care is intended for routine management of the existing website. Major redesigns, new custom functionality, ecommerce expansion, substantial new sections or pages, large content migrations, extensive copywriting, photography or video production, advertising, or specialized development may be quoted separately. Clinkable will communicate when a request falls outside the ordinary Business Care scope before charging for additional work.

5. Website Ownership During Active Service

If Client uses the No-Upfront Website Option and has not paid the deferred website purchase price, Clinkable retains ownership of the Clinkable-created website deliverable while Business Care remains active. Client receives the right to use the website for Client's business while the applicable service remains active.

This ownership arrangement does not transfer ownership of Client's domain name, trademarks, logos, photographs, business information, or other Client-provided materials to Clinkable. Those items remain Client's property or the property of their respective owners.

6. Purchased Website and Transfer Rights

Once Client has purchased the website—either through the purchase-at-signup option or by later paying the deferred website purchase price—Client may request a standalone copy of the completed website for transfer to another hosting provider or developer.

The transfer package is intended to preserve the Client-specific website as a usable standalone deliverable and may include the Client-specific pages, layout, styling, text and content, images, and applicable front-end files used to present the website. The transferred website should substantially preserve the appearance of the completed Client website, subject to technical differences in the receiving hosting environment.

Certain features may depend on Clinkable-managed infrastructure, accounts, services, or integrations and may not function after transfer unless replaced, reconfigured, or independently maintained. Examples may include contact-form processing or delivery, databases, serverless or backend functions, APIs, automations, managed integrations, analytics configurations, deployment workflows, or other services dependent on Clinkable or third-party systems.

Clinkable will not intentionally disable ordinary standalone front-end functionality solely because a purchased website is transferred. However, Clinkable is not responsible for rebuilding Clinkable-dependent or third-party-dependent functionality for another hosting environment unless separately agreed.

7. Clinkable Intellectual Property

Clinkable retains all rights in its reusable and proprietary technology and materials, including master templates, frameworks, configuration architecture, reusable components and code, internal tools, automation, deployment systems, processes, methods, documentation, libraries, systems, and other technology or materials developed for use across multiple Clinkable projects ("Clinkable Materials").

A website purchase gives Client the completed Client-specific website deliverable and the transfer rights described in this Agreement. It does not sell, assign, or transfer ownership of Clinkable Materials or give Client the right to extract, resell, sublicense, distribute, or claim ownership of Clinkable's underlying reusable systems. Clinkable may continue using and improving its reusable templates, components, systems, techniques, and know-how for other customers.

8. Client Content, Domain, and Business Accounts

Client retains ownership of Client-provided logos, photographs, text, trademarks, documents, business information, and other materials. Client represents that Client has the right to provide and use those materials and authorizes Clinkable to use them as reasonably necessary to build, host, maintain, support, and transfer the website.

Client should own or control Client's domain name and core business accounts whenever reasonably possible. Payment for Clinkable services does not give Clinkable ownership of Client's domain, Google Business Profile, social media accounts, email accounts, analytics properties, advertising accounts, or similar Client business accounts.

When access is required, Client may authorize Clinkable to act as a manager, administrator, collaborator, or technical service provider for relevant accounts. Clinkable may request delegated access, account invitations, authorization, DNS changes, or other permissions reasonably necessary to perform the services. Client should not provide passwords when a provider offers a secure delegated-access method.

9. Third-Party Services and Integrations

Clinkable services may rely on third-party providers such as hosting platforms, domain registrars, payment processors, analytics providers, email or form services, Google services, ecommerce platforms, APIs, or other vendors. Third-party products are subject to their own terms, availability, pricing, policies, and technical limitations.

Unless expressly included in Client's order, Client is responsible for third-party fees associated with Client-owned accounts or services. Clinkable is not responsible for outages, policy changes, account suspensions, price changes, data loss, or other acts or omissions of third-party providers outside Clinkable's reasonable control.

Clinkable may recommend or configure third-party services but does not guarantee continued compatibility or availability. If a third-party change requires material redevelopment, migration, or replacement work, that work may be quoted separately.

10. Client Responsibilities

Client agrees to provide accurate business information, content, approvals, and access reasonably needed to perform the services; to maintain lawful rights to materials supplied to Clinkable; to review requested deliverables and provide feedback within a reasonable time; and to use the website and related services in compliance with applicable law and relevant third-party policies.

Client is responsible for the accuracy and legality of Client's business claims, pricing, offers, policies, regulated-industry statements, and other substantive business content. Clinkable may assist with drafting or formatting content but does not independently verify every Client representation.

11. Project Timing, Review, and Launch

Project timing begins after Clinkable receives the payment, information, content, access, and approvals reasonably necessary to start the project. Delays in Client responses, assets, account access, domain access, or approvals may extend the timeline.

Clinkable may provide a staging or preview version for review. Client agrees to identify material corrections or requested revisions within a reasonable period. Launch or publication does not prevent Client from requesting routine updates covered by an active Business Care Plan.

12. Payments and Recurring Billing

Client authorizes the payment method submitted at checkout to be charged for the initial purchase and any recurring subscription selected. Business Care renews and is billed on the recurring schedule disclosed at checkout until canceled.

Client is responsible for maintaining a valid payment method. If a recurring payment fails, Clinkable may retry the payment, request an updated payment method, suspend work or service, or suspend the website after reasonable efforts to resolve the payment issue. Any suspension does not transfer ownership of a website that has not been purchased.

Amounts already paid for completed website-purchase work or service periods that have begun are generally non-refundable except where Clinkable agrees otherwise or applicable law requires otherwise. Nothing in this Agreement prevents Clinkable from voluntarily issuing a refund or credit when Clinkable determines it is appropriate.

13. Cancellation and Termination

Client may cancel Business Care. Cancellation stops future Business Care renewals after the effective cancellation date, subject to any billing already incurred for the current service period.

If Client purchased the website, cancellation of Business Care does not undo that website purchase. Client may request the standalone transfer package described in this Agreement.

If Client used the No-Upfront Website Option and has not purchased the website, Client may cancel without paying the deferred $1,200 website purchase price if Client does not want to take the website. In that case, Clinkable may remove or deactivate the Clinkable-hosted website and related managed services after cancellation.

If Client wants to take the completed website, Client must pay the deferred $1,200 website purchase price before the transfer package is provided.

Clinkable may suspend or terminate service for material breach, nonpayment, unlawful use, infringement, abuse of services, security risk, or other conduct that creates unreasonable legal, technical, or operational risk. When reasonably practical, Clinkable will provide notice and an opportunity to resolve a correctable issue before termination.

14. Offboarding and Website Transfer

For a purchased website, Clinkable will provide the standalone transfer package upon reasonable request. Clinkable may use an automated export or offboarding process to prepare the package.

The transfer package does not include transfer of Clinkable's own hosting accounts, internal deployment accounts, internal credentials, proprietary tools, master templates, internal repositories, reusable systems, or accounts used to serve multiple clients. Third-party licenses, subscriptions, credentials, or services that are non-transferable remain subject to the applicable provider's rules.

If Client requests migration, redevelopment, technical setup, troubleshooting, or integration work beyond providing the standard transfer package, Clinkable may quote that work separately. Client or Client's new provider is responsible for operating and maintaining the website after transfer unless Clinkable separately agrees to continue providing services.

15. Changes and Additional Work

Client may request changes during or after the initial build. Routine changes may be included under Business Care as described above. Requests outside the standard scope may require additional fees. Clinkable will seek Client approval before beginning separately billable work.

Any proposal, invoice, order, or written addendum for additional work becomes part of the parties' agreement for that work and may supplement this Agreement.

16. No Guarantee of Business Results

Clinkable provides website and related technical and creative services but does not guarantee any particular revenue, sales, leads, conversion rate, search-engine ranking, website traffic, review volume, customer response, advertising result, or other business outcome. Results depend on factors outside Clinkable's control.

17. Service Availability and Disclaimers

Clinkable will use commercially reasonable efforts to provide reliable services, but uninterrupted or error-free operation cannot be guaranteed. Maintenance, security issues, internet failures, third-party outages, provider changes, force majeure events, or other circumstances may temporarily affect service.

To the fullest extent permitted by applicable law, services are provided on an "as is" and "as available" basis except for commitments expressly stated in this Agreement or another written agreement with Client.

18. Limitation of Liability

To the fullest extent permitted by applicable law, Clinkable will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of goodwill, or loss of data arising from the services.

To the fullest extent permitted by applicable law, Clinkable's aggregate liability arising out of the services or this Agreement will not exceed the amounts Client paid to Clinkable for the service giving rise to the claim during the six months immediately preceding the event giving rise to the claim. This limitation does not apply where applicable law prohibits such a limitation.

19. Indemnification

Client agrees to indemnify and hold harmless Clinkable and its owners, employees, contractors, and service providers from third-party claims, liabilities, damages, and reasonable expenses arising from Client-provided content, Client's unlawful use of the services, Client's infringement of third-party rights, or Client's material violation of this Agreement, except to the extent caused by Clinkable's own unlawful conduct.

20. Governing Law and Disputes

This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, except where applicable law requires otherwise. Subject to any non-waivable legal rights, disputes arising from this Agreement will be brought in a state or federal court with jurisdiction in Virginia.

Before filing a lawsuit, the parties agree to make a good-faith effort to resolve the dispute informally by written notice describing the issue and allowing a reasonable opportunity to respond.

21. Changes to This Agreement

Clinkable may update this standard Agreement for future purchases or renewals. Material changes will not retroactively change the essential website-purchase or ownership terms of a completed website purchase without Client's agreement. The version in effect when Client accepts or purchases the applicable service will govern that transaction unless the parties later agree otherwise in writing.

22. General Terms

This Agreement, together with the applicable checkout or order record, Clinkable Terms of Service, Privacy Policy, and any written proposal or addendum applicable to the Client's purchase, forms the agreement governing the covered services. If a specific written proposal or addendum expressly conflicts with this Agreement, the more specific written term controls for that particular service.

If any provision is found unenforceable, the remaining provisions remain in effect to the extent permitted by law. A failure to enforce a provision is not a waiver of the right to enforce it later. Client may not assign this Agreement in a manner that materially increases Clinkable's obligations without Clinkable's consent. Clinkable may use employees, contractors, and service providers to perform the services while remaining responsible for its obligations under this Agreement.

Electronic communications and electronic acceptance may be used in connection with this Agreement. Headings are for convenience and do not limit the meaning of the provisions.
